Advantage Resource | Terms and Conditions

Advantage Resource agrees to sell, and the customer identified on the proposal included with these terms and conditions of sale agrees to buy, the services set forth in the proposal at the price quoted therein and subject to those terms and conditions.

Terms

The proposal is an offer, which shall remain open to the buyer for the earlier of 60 days from the date of the proposal. These terms and conditions shall continue in effect until the completion of all work under the proposal.

Freight Charges

Regardless of shipping terms or freight payment, all risk of loss or damage in transit shall be borne by buyer.

Permit Fees

If permit fees are not requested in the proposal they shall be the responsibility of the customer.

Delays

If the buyer is unable or unwilling to receive product at the designated shipping site on the mutually agreed upon delivery date, product will be deemed delivered and will be subject to additional double handling charges. If multiple deliveries are required due to delays of specific product additional charges will be incurred.

Condition of Job Site

All quotes are based upon Buyers job site being "furniture ready" prior to furniture delivery. Furniture ready is defined as: clear of all obstructions, and free of debris. All painting, carpet, and ceiling will be installed and complete. All passageways, corridors, as well as the area into which the furniture is to be delivered / installed is to be free and clear. Charges will be incurred to remove or handle existing furniture. Charges will be assessed to buyer for excessive handling, storage and transportation incurred because of site conditions and or activity of other trades and shall be billed on an hourly basis.

Facilities

Electric current, heat, lighting, and adequate facilities for offloading, staging, moving, and installing of furniture shall be continuously provided without cost or charge to Advantage Resource.

Placement of Furniture

Delivery and install shall include the placement of the furniture, one time only, in accordance with the furniture plans and specifications.

Hours of Receiving, Delivery & Installation

Delivery and installation shall be accomplished during normal working hours unless otherwise specified and priced accordingly. Normal working hours for Advantage Resource are 7:00 am to 3:30 pm, Monday through Friday, excluding holidays. Warehouse and receiving hours are 7:30 am to 4:00 pm, Monday through Friday, excluding holidays.

Elevator Availability

All proposals are for the free and clear use of an elevator for hoisting product to the upper floors of a job site without any additional cost to Advantage Resource. All goods will fit into the elevator provided or additional charges will be incurred for carrying the product up the stairs or dismantling the product in order to get the product into the elevator getting the product to the final destination.

Protection of Delivered Goods

Buyer is responsible for security and safekeeping of product after delivery to buyer's site or into storage by buyer if job site is not ready upon delivery date. Buyer shall assume any risk of damage and loss thereof.

Product Delivery Schedule

Each project requires a planning meeting with the Sales / Project Management / Design staff of the company awarding the work. Product should be ordered on separate purchase orders by floor in the following manner: frames, tiles, trim, electrical, work surfaces, overheads, task lights, pedestals, lateral files, ancillary, and chairs. There will be no more than one 53' semi delivered to site per night unless otherwise agreed upon between the parties.

Site Presence

Client shall have a responsible party present throughout the delivery and installation period for the purpose of inspecting, accepting furniture and sign-off of installation.

Notice Before Delivery

All deliveries to the Advantage Resource warehouse require a forty-eight hour advance notice via phone call or e-mail. The warehouse manager must accept and confirm the appointment with the carrier prior to arrival.

Certificate of Insurance

Requests for Certificates of Insurance must be received by Advantage Resource seventy-two hours prior to the delivery and installation date of a project.

Acts Beyond Reasonable Control

Advantage Resource shall not be liable for any delay or failure to deliver any or all product caused by labor disputes, strikes, act of God, or other delay beyond the reasonable control of seller. In such instances, any deadlines for delivery shall be adjusted by a reasonable amount.

Payment Terms

Advantage Resource payment terms are 1.5% reduction in price of each proposal if paid within 10 days of substantial completion of the job or Net 30 days, unless specified. A late payment penalty of 1 ½ % will be assessed monthly.

Deviation

Any deviation of the terms and conditions of this proposal will be billed in addition to this contract and will be charged according to the current labor rates of Advantage Resource.

Entire Agreement

Unless otherwise agreed to in writing between buyer and Seller, this document is intended by all parties as the final expression of their agreement and supersedes all other purchase orders or documents provided by buyer.
